Release
In consideration of the opportunity to appear or have your Materials appear in our promotional materials you agree as follows:
You hereby grant to MSMF Productions Inc., its licensees, assigns, affiliates, subsidiaries, franchisees, advertising and promotional agencies, and their agents and representatives (collectively, “MSMF”), the irrevocable, unrestricted, unconditional, royalty-free worldwide right and license to use, publish, display, broadcast, edit, modify and distribute any and all materials, content, illustrations, photographs, videos, comments, sounds, sound effects, audio recordings, and information relating to your content (collectively, the “Materials”), including your name, voice, image, likeness, and/or any other identifiable representation of yourself and any other individuals depicted in the Materials (collectively, the “Likeness”). The Materials and the Likeness may be used in one or more My Singing Monsters Fandemonium Live video and/or audio recordings and other derivative works in any form, style, color or medium, in all media whatsoever now known or later developed (including, without limitation, photographs, videotapes, films, sound recordings, software, drawings, prints, broadcast, in-store displays, internet, email, catalog and electronic media), in all languages, throughout the world in perpetuity.
You agree that (a) your Materials and Likeness will be treated as non-confidential and non-proprietary and will not be returned, and (b) MSMF does not assume any obligation of any kind to you or any third party with respect to your Materials or Likeness.
Without limitation of the foregoing, the Materials and the Likeness may be used, shared, transmitted, displayed, broadcast, distributed and otherwise exploited by MSMF in and as part of one or more My Singing Monsters Fandemonium Live video and/or audio recordings, via YouTube, Facebook, Instagram, and other websites and social media platforms, and/or via all forms of television, internet, and mobile media.
You acknowledge that all My Singing Monsters Fandemonium Live video and/or audio recordings (collectively, the “Content”) are owned or controlled by MSMF and our licensors and certain other third parties. All right, title, and interest in and to the Content is the property of MSMF or MSMF’s licensors or certain other third parties, and is protected by U.S., Canadian, and international copyright, trademark, patent, or other intellectual property rights and laws to the fullest extent possible.
Alteration of Materials
You hereby grant to MSMF the right, in its sole discretion to alter, change, edit, juxtapose, or modify the Materials and/or the Likeness or to use the Materials and/or the Likeness in combination with materials provided by other parties. You hereby waive any right you may have to inspect or approve the Materials or the Likeness as altered by MSMF or any part or element thereof that incorporates the Materials or the Likeness. You hereby waive any and all “moral rights” (including attribution and integrity) that you may have in or to the Materials and/or the Likeness. To the extent not waivable, you irrevocably agree not to exercise such rights (if any) in a manner that interferes with any exercise of the granted rights.
Warranties and Representations
You warrant and represent that: (a) you are the author of the Materials and own all rights to use the Materials and the Likeness or, alternatively, you have the right to grant us the rights described above; (b) you have paid or will pay in full any fees or other payments that may be related to the use of the Materials and the Likeness by MSMF; (c) the Materials and the Likeness do not infringe upon the copyrights, trademarks, rights of privacy, publicity or other intellectual property or other rights of any person or entity; (d) the Materials and the Likeness do not include any “samples” or other third party proprietary materials; (e) the publication of the Materials and the Likeness by MSMF via any media including web and social media posting, will not infringe on the rights of any third parties; (f) you have obtained permission from all persons whose name, voice, image, likeness and/or any other identifiable representation are included in the Materials and the Likeness; (g) the Materials and the Likeness do not constitute or contain software viruses, commercial solicitation, chain letters, mass mailings, or any form of “spam.”
You may not use a false email address or an email address that is not your personal email address impersonate any person or entity, or otherwise mislead MSMF as to the origin of any Materials or Likeness.
You hereby agree to indemnify and hold harmless MSMF and against any claims resulting from or relating to any breach or contravention by you of any of your agreements, representations, and/or warranties set forth in these Terms & Conditions.
You acknowledge that MSMF has no obligation to monitor or enforce your intellectual property rights to your Materials or Likeness, but you grant us the right to protect and enforce our rights to your Materials and Likeness, including by bringing and controlling actions in your name and on your behalf (at MSMF’s cost and expense, to which you hereby consent and irrevocably appoint Mattel as your attorney-in-fact, with the power of substitution and delegation, which appointment is coupled with an interest).
You hereby agree that all rights granted to MSMF herein shall be irrevocable and not subject to rescission, and that you shall not have the right to enjoin or otherwise interfere with or restrict the production, distribution or exploitation of the Content and/or any My Singing Monsters Fandemonium Live video and/or audio recordings or other derivative works produced by MSMF hereunder.
Acknowledgment and Agreement
By responding to our request with your acceptance of “I approve,” you hereby agree to the following:
